All commercial transactions, legal arrangements, proof-of-concept agreements, hardware equipment sales, and service contracts related to Gạo Việt Holding are signed and legally represented by Viet Rice Holdings Joint Stock Company under Vietnamese law. SECTION 02 Agreement levels and PoC requestsThe legal distinction between website access and a formal enterprise agreement. It does not automatically create a commercial contract or obligate PIONE Group to provide dedicated hardware infrastructure. 3. Enterprise equipment and service agreementCommitments concerning equipment delivery timelines, software licenses, advanced data confidentiality (NDA), service-level agreements (SLA), and pricing become effective only when both parties execute a separate written Enterprise Agreement. SECTION 03 Intellectual property and AI-IoT technologyPIONE Group intellectual property and protection of optical hardware designs. All intellectual property displayed on pione.ai and embedded within PIONE GrainScan equipment is protected under Vietnamese intellectual property law and applicable international treaties: PIONE Group-owned assets- Firmware and optoelectronic hardware design of IoT flatbed scanners (PIONE GrainScan M0 for milled rice and GrainScan P0 for paddy), computer vision instance-segmentation models, cultivar purity recognition algorithms (ST24, ST25, Dai Thom 8, Jasmine...), weighbridge interfaces, BOS Chain blockchain digital certificate systems, website source code, and the Gạo Việt Holding trademark are the lawful property of PIONE Group.
- Extracting firmware source code, reverse-engineering hardware devices, copying, or commercially exploiting technical materials without prior written consent is strictly prohibited.
Third-party libraries and cloud infrastructure- Gạo Việt Holding solutions may integrate with open-source image processing libraries or third-party cloud infrastructure.

SECTION 04 User responsibilities and equipment operationStandards of conduct when operating scanners and interacting with Gạo Việt Holding systems. When using the website or operating Gạo Việt Holding interfaces and equipment, you agree to: • Provide accurate contact details and refrain from impersonating other individuals or businesses. • Ensure that grain samples submitted for testing are lawfully owned or authorized by participating farmers or grain dealers. • Follow proper optical operating procedures: clean the anti-stick scanning tray periodically, and never place foreign objects that could corrode or scratch the optical lens. • Refrain from unauthorized tampering with embedded firmware or falsifying measurement logs for commercial fraud. SECTION 05 AI output boundaries and Human-in-the-Loop requirementCore conditions regarding the role of computer vision in agricultural inspection. Given the specific nature of artificial intelligence and computer vision in agricultural grading, PIONE Group clarifies the following operational boundaries: Objective decision-support tool rolePIONE GrainScan optical scanners and vision AI models are designed to standardize quality inspection, eliminate subjective human grading variance, and accelerate sample analysis from 45 minutes to under 3 minutes. Metrics generated by AI (broken ratio, chalkiness, damaged/yellow/red kernels, moisture, purity under TCVN 11888/TCVN 5644) provide objective technical evidence; final acceptance, purchasing discounts, or warehouse release decisions remain under the operating authority and review of mill QC specialists (Human-in-the-Loop). Human-in-the-Loop requirementEnterprise customers remain responsible for maintaining human oversight for critical financial disbursements, large-volume grain purchase approvals, or when commercial quality disputes arise. Exclusion for unhygienic optical sample conditionsPIONE Group is not responsible for grading variance caused by excessive optical dust accumulation, obstructed glass, or severely clumped wet paddy samples that prevent single-layer grain dispersion. Notice on responsibility for automated inspection use PIONE Group provides an objective, transparent measurement tool. Grain purchase pricing and final trade negotiations remain the sole responsibility and discretion of the commercial parties. SECTION 06 Limitation of liability and SLA termsDistinction between general website availability and contractual SLA commitments. The pione.ai website and explanatory solution materials are provided on an 'as-is' basis for informational purposes. • Service Level Agreements (SLAs): Hardware availability, optical replacement timelines, and grading precision guarantees apply only where expressly stipulated in a signed Enterprise Agreement. • Damages cap: To the maximum extent permitted by Vietnamese law, PIONE Group is not liable for indirect damages, seasonal harvest losses, or supply chain interruptions resulting from power grid outages, third-party network disruptions, or force majeure events. SECTION 07 Suspension and termination of accessCircumstances where PIONE Group may restrict access or disconnect devices. PIONE Group reserves the right to refuse service inquiries or disconnect equipment access where: 1. Automated form spamming, denial-of-service attempts, or unauthorized penetration activities are detected. 2. Deliberate hardware tampering or falsification of measurement telemetry is detected to misrepresent grain origin. 3. Falsified information is provided or mandatory cybersecurity rules are breached. 4. Directed by a lawful written order from competent regulatory authorities. SECTION 08 Governing law and jurisdictionDispute resolution under the laws of Vietnam. These Terms of Service are governed by and construed under the laws of the Socialist Republic of Vietnam. Any dispute arising from or related to the use of pione.ai or PIONE GrainScan equipment shall first be resolved through good-faith negotiation between the parties. If negotiations do not resolve the dispute within 30 days of written notice, the matter shall be submitted to the competent People's Court in Ho Chi Minh City, Vietnam, where Viet Rice Holdings Joint Stock Company is headquartered.
